1. Acceptance of Terms

By accessing and using the Newstepille website and services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our services. Newstepille Limited may modify these terms at any time—continued use of our services constitutes acceptance of changes.

2. Description of Services

Newstepille provides three primary services:

• AI for Energy Management: Machine learning systems to optimize facility energy consumption
• Entity Recognition Platform: Custom-trained AI for automated extraction from unstructured documents
• AI Workshop for Executives: Educational briefings on AI capabilities for board members and leadership

Services are provided as described in individual project agreements. Deliverables, timelines, and pricing are documented in written contracts.

3. User Responsibilities

You agree to:

• Provide accurate and complete information in all communications
• Comply with all applicable laws and regulations
• Not use our services for illegal, fraudulent, or harmful purposes
• Not attempt to disrupt, interfere with, or circumvent our systems
• Maintain the confidentiality of any access credentials or sensitive information

4. Project Agreements & Pricing

All service engagements require a signed project agreement or service contract. Pricing is as quoted and documented in the agreement. Unless otherwise stated, prices are in Hong Kong Dollars (HKD) and due upon invoice unless different payment terms are agreed in writing.

Expenses incurred during project delivery (data integration, model development, deployment) are itemized in invoices.

5. Intellectual Property

Newstepille retains ownership of all methodologies, frameworks, code, and intellectual property developed as part of our services. You receive a license to use deliverables for your internal business purposes. You cannot redistribute, resell, or modify deliverables without our written consent.

Any data, documents, or materials you provide to Newstepille remain your property. We use this data solely for delivering our services and improving our offerings (with personal data handled per our Privacy Policy).

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive business information shared during engagement. Confidential information will not be disclosed to third parties without written consent, except when legally required or to trusted service providers bound by confidentiality agreements.

7. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that services will be uninterrupted, error-free, or meet all your expectations. AI models have inherent limitations and may not perform identically in all scenarios.

We warrant that services will be performed in a professional manner consistent with industry standards. We do not warrant specific outcomes or results, as success depends on factors beyond our control.

8. Limitation of Liability

To the extent permitted by law, Newstepille's total liability shall not exceed the fees paid for the specific service in question. We are not liable for indirect, incidental, consequential, or punitive damages (including lost profits or data loss), even if advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold harmless Newstepille from any claims, losses, or expenses arising from your use of our services, violation of these terms, or violation of applicable laws.

10. Termination

Either party may terminate a project engagement for convenience with 30 days written notice. Termination for cause (material breach) may occur immediately. Upon termination, all outstanding fees are due, and both parties will cooperate on transition activities.

11. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of Hong Kong. Both parties agree to submit to the exclusive jurisdiction of the courts of Hong Kong for resolution of disputes.

12. Dispute Resolution

Before initiating legal proceedings, we encourage both parties to attempt resolution through informal discussion. If informal resolution fails, either party may pursue mediation or arbitration as specified in the project agreement.

13. Entire Agreement

These Terms & Conditions, together with any signed project agreements, constitute the entire agreement between you and Newstepille. No other terms, conditions, or representations apply unless expressly agreed in writing.
